यह Terms of Service Agreement ("Agreement" या "Terms") EduGradUP ERP Technologies (Proprietorship, GSTIN: 09AJKPY6406F1ZS, Registered Office: Azamgarh, Uttar Pradesh, India — इसके बाद "Company", "हम", "EduGradUP") और आप ("User", "School", "Subscriber", "Client") के बीच एक legally binding contract है।
EduGradUP Platform (website, mobile app, desktop app) register, access, या use करके आप इन Terms से unconditionally agree करते हैं। यदि आप agree नहीं करते, तो कृपया Platform use न करें।
यह Agreement Indian Contract Act, 1872; Information Technology Act, 2000; Consumer Protection Act, 2019; और Digital Personal Data Protection Act, 2023 के provisions के subject और compliance में है।
1. Definitions (परिभाषाएँ)
"Platform" — schoolsoftwareindia.com website, EduGradUP mobile applications (Android/iOS), desktop applications, और सभी related APIs एवं services
"Service" — EduGradUP द्वारा provide किए जाने वाले cloud-based school management software features
"Subscription" — Paid annual license जो Platform access grant करती है
"School Data" — User द्वारा Platform पर enter किया गया सभी data (student records, fees, attendance, exam marks, staff data, etc.)
"Confidential Information" — Login credentials, API keys, School Data, pricing details, और कोई भी information जो publicly available नहीं है
"Force Majeure" — ऐसी events जो हमारे reasonable control से बाहर हैं — natural disasters, pandemics, war, government orders, internet/electricity outages, cyberattacks
2. Service Description
EduGradUP एक cloud-based, multi-tenant school management software (School ERP) है जो निम्नलिखित modules provide करता है:
Student Information System (admission, records, promotion)
Fee Management (collection, receipts, due tracking, GST invoicing)
Service केवल recognized educational institutions (schools, colleges, coaching centers, training institutes) के लिए है
Registration करने वाले व्यक्ति को institution का authorized representative होना चाहिए (Principal, Director, Manager, Owner, या duly authorized person)
Registrant की उम्र कम से कम 18 वर्ष होनी चाहिए (Indian Contract Act, 1872 Section 11)
Registration information सत्य, सटीक, और पूर्ण होनी चाहिए। False information provide करना Agreement का breach होगा
4. Account Registration & Security
Registration के दौरान दी गई सभी information accurate और up-to-date होनी चाहिए
Account credentials (email/password) की security पूर्णतः आपकी responsibility है
आप अपने account से होने वाली सभी activity के लिए responsible हैं, चाहे वो authorized हो या unauthorized
Unauthorized access, password breach, या suspected security incident होने पर तुरंत हमें notify करें — support@schoolsoftwareindia.com
एक institution = एक primary account। Multiple accounts बनाना prohibited है (branch schools के लिए separate accounts allowed with disclosure)
Account credentials share करना, sell करना, या transfer करना strictly prohibited है
5. Subscription, Pricing & Payment
A. Pricing

*WhatsApp messages are not included in the ₹12,000/year subscription. Message fees are paid to Meta via the official WhatsApp Business API (WABA) and billed separately — this is industry-standard practice followed by all ERP providers offering WhatsApp integration
Pricing subject to revision — existing subscribers को 60 days advance written notice (email/WhatsApp) दिया जाएगा
Price revision केवल next renewal cycle से applicable होगा, mid-term नहीं
All prices are in Indian Rupees (₹/INR)
B. Payment Terms
Subscription annual advance payment basis पर है
Accepted payment methods: UPI, Net Banking, Debit/Credit Card, NEFT/RTGS Bank Transfer, Cheque
GST Tax Invoice subscription activation पर email/WhatsApp पर भेजी जाएगी (GSTIN: 09AJKPY6406F1ZS)
Payment record Platform पर available रहेगा
Late payment पर service access temporarily restricted हो सकता है (7-day grace period के बाद)
Bounced cheque/chargebacks पर ₹500 administrative fee applicable हो सकता है
C. Free Trial
30-day free trial available है — no credit card or payment required
Trial period के बाद paid subscription activate न करने पर access read-only mode में restrict हो जाएगा (data safe रहेगा)
Trial में enter किया गया data paid subscription पर fully retained रहता है
Trial suspension के 90 days बाद access और data permanently remove हो जाएगा
6. Refund Policy (धनवापसी नीति)
15-Day Money-Back Guarantee: Subscription activation के 15 calendar days के भीतर full refund — कोई conditions नहीं, कोई सवाल नहीं
15 दिनों के बाद refund applicable नहीं है (annual subscription model)
Refund 7-10 business days में original payment method पर process होता है
Bank transfer payments पर refund beneficiary bank account details required हैं
Service हमारी fault/breach के कारण unavailable रहने पर — pro-rata refund applicable (SLA Section 10 देखें)
7. Data Ownership & License
आपका Data आपका है। School द्वारा Platform पर enter किया गया सभी data (student records, fees, attendance, exam marks, staff data) school की exclusive property है
EduGradUP School Data पर कोई ownership, intellectual property, या commercial claim नहीं करता
आप EduGradUP को limited license grant करते हैं: केवल Service provide करने के लिए data access, store, process, और backup करने की — और कुछ नहीं
EduGradUP School Data को कभी भी advertising, training AI models, marketing, या किसी third-party को sell करने के लिए use नहीं करेगा
Subscription end/termination पर data export (CSV/Excel) available है (Section 16 देखें)
Scheduled Maintenance: Non-peak hours (12 AM – 5 AM IST) में, कम से कम 24 hours advance notice (WhatsApp/email) के साथ
Support Response Time:
Critical issues (platform down): 4 hours
High (major feature broken): 12 hours
Medium (minor feature issue): 24 hours
Low (feature request, query): 48 hours
Support Channels: WhatsApp (+91 96280 30291), Email (support@schoolsoftwareindia.com), In-app chat
Support Hours: Monday – Saturday, 9:00 AM – 7:00 PM IST (emergency: 24/7 WhatsApp)
SLA Credit: Monthly uptime 99.5% से कम होने पर pro-rata service extension credit दिया जाएगा (maximum 30 days per year)
11. Confidentiality
दोनों parties (EduGradUP और School) Confidential Information को strictly confidential रखेंगे
Confidential Information third-party को disclose नहीं की जाएगी — सिवाय:
Written consent से
Legal obligation / court order से
Service delivery के लिए necessary sub-processors को (under NDA)
यह confidentiality obligation Agreement termination के 3 years बाद तक applicable रहेगी
12. Limitation of Liability (दायित्व की सीमा)
IMPORTANT — कृपया ध्यान से पढ़ें:
Maximum Liability Cap: किसी भी claim, damages, या loss के लिए EduGradUP की total aggregate liability अधिकतम ₹12,000 (एक वर्ष की subscription amount) तक सीमित है, या पिछले 12 months में actually paid amount, जो भी कम हो
EduGradUP indirect, incidental, special, consequential, punitive, या exemplary damages के लिए liable नहीं है, including but not limited to:
Loss of data (beyond backup restoration)
Loss of profits, revenue, या business opportunity
Loss of goodwill या reputation
Third-party claims against you
Cost of procurement of substitute services
यह limitation किसी भी legal theory (contract, tort, negligence, strict liability, statutory liability) के under applicable है
यह limitation applicable नहीं होगी: (a) EduGradUP की willful misconduct या gross negligence, (b) fraud, (c) death या bodily injury caused by negligence, (d) जहाँ Indian law limitation prohibit करे
13. Indemnification (क्षतिपूर्ति)
By You: आप EduGradUP को indemnify, defend, और hold harmless करेंगे किसी भी third-party claims, damages, losses, और expenses (including legal fees) से जो arise हों:
आपके Terms violation से
आपके Platform misuse से
आपके द्वारा enter किए गए data की accuracy/legality से related issues
आपके applicable law/regulation violation से
By EduGradUP: EduGradUP आपको indemnify करेगा third-party IP infringement claims से जो EduGradUP software (as provided) के use से directly arise हों, provided:
आप promptly claim notify करें
EduGradUP को defense और settlement control दें
आप reasonable cooperation provide करें
14. Force Majeure
कोई भी party non-performance के लिए liable नहीं होगी जो Force Majeure events के कारण हो:
Force Majeure event 30 days से अधिक continue होने पर, either party written notice से Agreement terminate कर सकती है बिना किसी penalty के।
15. Termination & Suspension
A. Termination by You (School)
कभी भी subscription cancel/non-renew कर सकते हैं
Remaining period का refund Section 6 (Refund Policy) के अनुसार
Cancellation request: email (support@schoolsoftwareindia.com) या WhatsApp (+91 96280 30291)
B. Termination by EduGradUP
Non-material breach: 15 days written cure notice → breach unremedied → termination
Material breach (fraud, hacking, data theft, illegal use, payment fraud): Immediate termination बिना notice
Non-payment: Due date से 30 days बाद suspension; 60 days बाद termination
C. Effect of Termination
Termination date से Platform access revoke होगा
Data export: Section 16 के अनुसार
Outstanding payments (if any) immediately due and payable
Sections जो naturally survive करें (Confidentiality, Limitation of Liability, Indemnification, Governing Law, Data Rights) termination के बाद भी effective रहेंगे
16. Data Export & Post-Termination
Termination/cancellation पर 90 calendar days तक data export available रहेगा
Export request: email या WhatsApp — 72 hours में fulfill किया जाएगा
90-day grace period के बाद data permanently और irreversibly delete हो जाएगा (Database + all backups)
Financial/tax records Indian law requirements (GST Act, Companies Act) के अनुसार 8 years retain हो सकते हैं — anonymized form में
17. Dispute Resolution & Arbitration
Informal Resolution (Step 1): कोई भी dispute पहले mutual discussion से resolve करने का प्रयास किया जाएगा। Dispute notice email/WhatsApp पर भेजें। हम 15 days में respond करेंगे
Mediation (Step 2): Informal resolution fail होने पर, mutually agreed mediator के through mediation — 30 days time limit
Arbitration (Step 3): Mediation fail होने पर, dispute Arbitration and Conciliation Act, 1996 के under resolve होगा:
Sole arbitrator — mutually appointed, या failing agreement, Bar Council guidelines
Seat of arbitration: Azamgarh, Uttar Pradesh
Language: Hindi या English (mutual choice)
Arbitrator's decision final और binding
Each party अपना cost bear करेगी; arbitrator fees equally shared
Urgent Relief: Injunctive या interim relief के लिए courts से approach करने का right reserved — arbitration clause notwithstanding
18. Governing Law & Jurisdiction
यह Agreement Republic of India के laws से exclusively governed होगी, जिसमें:
Indian Contract Act, 1872
Information Technology Act, 2000 (और amendments)
Consumer Protection Act, 2019
Digital Personal Data Protection Act, 2023
Arbitration and Conciliation Act, 1996
Goods and Services Tax Act (GST)
Subject to Section 17 (Arbitration), exclusive jurisdiction Azamgarh, Uttar Pradesh, India की competent civil courts होंगी।
19. General Provisions
A. Severability
यदि इन Terms का कोई provision किसी competent court/tribunal द्वारा invalid, illegal, या unenforceable declared किया जाता है, तो remaining provisions पूर्ण force और effect में रहेंगे। Invalid provision को closest valid provision से replace किया जाएगा।
B. Entire Agreement
ये Terms, Privacy Policy के साथ, आपके और EduGradUP के बीच complete and exclusive agreement constitute करते हैं। इससे पहले की सभी oral या written agreements, representations, और understandings superseded हो जाती हैं।
C. Waiver
किसी भी right या provision enforce करने में delay या failure waiver नहीं माना जाएगा। किसी provision का waiver तभी effective होगा जब written और signed हो।
D. Assignment
आप इस Agreement को EduGradUP की prior written consent के बिना assign या transfer नहीं कर सकते। EduGradUP इसे successor या affiliate को assign कर सकता है। Assignment user को advance notice (30 days) के साथ notify किया जाएगा।
E. Notices
सभी notices email (support@schoolsoftwareindia.com) या WhatsApp (+91 96280 30291) पर valid होंगे। Legal notices registered post/speed post पर: EduGradUP ERP Technologies, Azamgarh, UP 276001।
20. Amendment & Notification
हम Terms update कर सकते हैं
Material changes registered users को 60 days advance notice (email + WhatsApp) के साथ communicate किए जाएंगे
Non-material changes: 15 days notice + "Last updated" date update
Notice period के बाद continued use = acceptance of updated Terms
यदि आप updated Terms से agree नहीं करते, तो notice period में subscription cancel कर सकते हैं (pro-rata refund applicable)
