This Terms of Service Agreement ("Agreement" or "Terms") is a legally binding contract between EduGradUP ERP Technologies (Proprietorship, GSTIN: 09BOVPY4539L1ZN, Registered Office: Azamgarh, Uttar Pradesh, India — hereafter "Company", "we", "EduGradUP") and you ("User", "School", "Subscriber", "Client").
By registering for, accessing, or using the EduGradUP Platform (website, mobile app, desktop app), you unconditionally agree to these Terms. If you do not agree, please do not use the Platform.
This Agreement is subject to, and complies with, the provisions of the Indian Contract Act, 1872; the Information Technology Act, 2000; the Consumer Protection Act, 2019; and the Digital Personal Data Protection Act, 2023.
1. Definitions
"Platform" — the schoolsoftwareindia.com website, EduGradUP mobile applications (Android/iOS), desktop applications, and all related APIs and services
"Service" — the cloud-based school management software features provided by EduGradUP
"Subscription" — a paid annual license that grants Platform access
"School Data" — all data entered by the User on the Platform (student records, fees, attendance, exam marks, staff data, etc.)
"Confidential Information" — login credentials, API keys, School Data, pricing details, and any information that is not publicly available
"Force Majeure" — events beyond our reasonable control — natural disasters, pandemics, war, government orders, internet/electricity outages, cyberattacks
2. Service Description
EduGradUP is a cloud-based, multi-tenant school management software (School ERP) that provides the following modules:
Student Information System (admission, records, promotion)
Fee Management (collection, receipts, due tracking, GST invoicing)
The Service is available only to recognized educational institutions (schools, colleges, coaching centers, training institutes)
The person registering must be an authorized representative of the institution (Principal, Director, Manager, Owner, or a duly authorized person)
The registrant must be at least 18 years of age (Indian Contract Act, 1872, Section 11)
Registration information must be true, accurate, and complete. Providing false information will constitute a breach of this Agreement
4. Account Registration & Security
All information provided during registration must be accurate and up-to-date
Securing your account credentials (email/password) is entirely your responsibility
You are responsible for all activity on your account, whether authorized or unauthorized
In the event of unauthorized access, a password breach, or a suspected security incident, notify us immediately at [email protected]
One institution = one primary account. Creating multiple accounts is prohibited (separate accounts for branch schools are allowed with disclosure)
Sharing, selling, or transferring account credentials is strictly prohibited
5. Subscription, Pricing & Payment

*WhatsApp messages are not included in the from ₹9,000/year subscription. Message fees are paid to Meta via the official WhatsApp Business API (WABA) and billed separately — this is industry-standard practice followed by all ERP providers offering WhatsApp integration
Pricing is subject to revision — existing subscribers will be given 60 days' advance written notice (email/WhatsApp)
Price revisions apply only from the next renewal cycle, never mid-term
All prices are in Indian Rupees (₹/INR)
B. Payment Terms
Subscriptions are billed on an annual advance payment basis
Accepted payment methods: UPI, Net Banking, Debit/Credit Card, NEFT/RTGS Bank Transfer, Cheque
A GST Tax Invoice will be sent by email/WhatsApp upon subscription activation (GSTIN: 09BOVPY4539L1ZN)
Payment records remain available on the Platform
Late payment may result in temporarily restricted service access (after a 7-day grace period)
Bounced cheques/chargebacks may incur a ₹500 administrative fee
C. Free Trial
A 30-day free trial is available — no credit card or payment required
If a paid subscription is not activated after the trial period, access is restricted to read-only mode (your data stays safe)
Data entered during the trial is fully retained once you move to a paid subscription
Access and data are permanently removed 90 days after trial suspension
6. Refund Policy
15-Day Money-Back Guarantee: Full refund within 15 calendar days of subscription activation — no conditions, no questions asked
After 15 days, refunds are not applicable (annual subscription model)
Submit refund requests to [email protected] or via WhatsApp (+91 96280 30291)
Refunds are processed to the original payment method within 7-10 business days
For bank transfer payments, beneficiary bank account details are required for the refund
If the Service is unavailable due to our fault/breach — a pro-rata refund applies (see SLA, Section 10)
7. Data Ownership & License
Your data belongs to you. All data entered by the School on the Platform (student records, fees, attendance, exam marks, staff data) is the exclusive property of the School
EduGradUP claims no ownership, intellectual property, or commercial rights over School Data
You grant EduGradUP a limited license — to access, store, process, and back up data solely for the purpose of providing the Service, and for nothing else
EduGradUP will never use School Data for advertising, training AI models, marketing, or sell it to any third party
Data export (CSV/Excel) is available upon subscription end/termination (see Section 16)
8. Intellectual Property Rights
The EduGradUP Platform — software code, UI/UX design, logo, brand name, documentation, APIs — is the exclusive intellectual property of EduGradUP ERP Technologies
The Subscription grants only a non-exclusive, non-transferable, revocable license — it does not transfer ownership
You may not reverse engineer, decompile, disassemble, copy, modify, redistribute, sublicense, or resell the Platform
The School retains IP rights over its own data; EduGradUP retains IP rights over its own software
9. Acceptable Use Policy
You agree that you will use the Platform:
Only for legitimate school/educational administration purposes
Not for any illegal activity, fraud, money laundering, or unauthorized purpose
Without attempting to access, copy, modify, or exfiltrate other schools'/users' data
Without attempting to hack, penetration test (without written authorization), reverse-engineer, or disrupt the Platform
Without distributing spam, malware, or harmful content through the Platform
Not for hate speech, discrimination, or harassment
Without deliberately entering false or misleading student/school data
In compliance with API rate limits, fair usage, and platform guidelines
EduGradUP reserves the right to immediately suspend or terminate an account upon violation of this Acceptable Use Policy (see Section 15).
Support Hours: Monday – Saturday, 9:00 AM – 7:00 PM IST (emergency: 24/7 WhatsApp)
SLA Credit: If monthly uptime falls below 99.5%, a pro-rata service extension credit will be given (maximum 30 days per year)
11. Confidentiality
Both parties (EduGradUP and School) will keep Confidential Information strictly confidential
Confidential Information will not be disclosed to any third party, except:
With written consent
Under legal obligation / court order
To sub-processors necessary for service delivery (under NDA)
This confidentiality obligation remains applicable for 3 years after Agreement termination
12. Limitation of Liability
IMPORTANT — please read carefully:
Maximum Liability Cap: For any claim, damages, or loss, EduGradUP's total aggregate liability is limited to a maximum of ₹9,000 (one year's subscription amount), or the amount actually paid in the preceding 12 months, whichever is lower
EduGradUP is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
Loss of data (beyond backup restoration)
Loss of profits, revenue, or business opportunity
Loss of goodwill or reputation
Third-party claims against you
Cost of procurement of substitute services
This limitation applies under any legal theory (contract, tort, negligence, strict liability, statutory liability)
This limitation will not apply to: (a) EduGradUP's willful misconduct or gross negligence, (b) fraud, (c) death or bodily injury caused by negligence, (d) cases where Indian law prohibits such limitation
13. Indemnification
By You: You will indemnify, defend, and hold harmless EduGradUP against any third-party claims, damages, losses, and expenses (including legal fees) arising from:
Your violation of these Terms
Your misuse of the Platform
Issues related to the accuracy/legality of data you have entered
Your violation of applicable law/regulation
By EduGradUP: EduGradUP will indemnify you against third-party IP infringement claims that arise directly from use of the EduGradUP software (as provided), provided:
You promptly notify EduGradUP of the claim
You give EduGradUP control of the defense and settlement
You provide reasonable cooperation
14. Force Majeure
Neither party will be liable for non-performance caused by Force Majeure events:
Material breach (fraud, hacking, data theft, illegal use, payment fraud): Immediate termination without notice
Non-payment: Suspension 30 days after due date; termination after 60 days
C. Effect of Termination
Platform access will be revoked from the termination date
Data export: as per Section 16
Outstanding payments (if any) immediately due and payable
Sections that naturally survive (Confidentiality, Limitation of Liability, Indemnification, Governing Law, Data Rights) will remain effective after termination
16. Data Export & Post-Termination
Data export will remain available for 90 calendar days after termination/cancellation
Export requests: via email or WhatsApp — will be fulfilled within 72 hours
After the 90-day grace period, data will be permanently and irreversibly deleted (database + all backups)
Financial/tax records may be retained for 8 years in anonymized form, as required under Indian law (GST Act, Companies Act)
17. Dispute Resolution & Arbitration
Informal Resolution (Step 1): Any dispute will first be attempted to be resolved through mutual discussion. Send the dispute notice via email/WhatsApp. We will respond within 15 days
Mediation (Step 2): If informal resolution fails, mediation through a mutually agreed mediator — 30 days time limit
Arbitration (Step 3): If mediation fails, the dispute will be resolved under the Arbitration and Conciliation Act, 1996:
Sole arbitrator — mutually appointed, or failing agreement, per Bar Council guidelines
Seat of arbitration: Azamgarh, Uttar Pradesh
Language: Hindi or English (mutual choice)
The arbitrator's decision will be final and binding
Each party will bear its own costs; arbitrator fees shared equally
Urgent Relief: The right to approach courts for injunctive or interim relief is reserved, notwithstanding the arbitration clause
18. Governing Law & Jurisdiction
This Agreement will be governed exclusively by the laws of the Republic of India, including:
Indian Contract Act, 1872
Information Technology Act, 2000 (and amendments)
Consumer Protection Act, 2019
Digital Personal Data Protection Act, 2023
Arbitration and Conciliation Act, 1996
Goods and Services Tax Act (GST)
Subject to Section 17 (Arbitration), the competent civil courts of Azamgarh, Uttar Pradesh, India will have exclusive jurisdiction.
19. General Provisions
A. Severability
If any provision of these Terms is declared invalid, illegal, or unenforceable by a competent court/tribunal, the remaining provisions will remain in full force and effect. The invalid provision will be replaced by the closest valid provision.
B. Entire Agreement
These Terms, together with the Privacy Policy, constitute the complete and exclusive agreement between you and EduGradUP. All prior oral or written agreements, representations, and understandings are superseded.
C. Waiver
Delay or failure in enforcing any right or provision will not be deemed a waiver. A waiver of any provision will be effective only if it is in writing and signed.
D. Assignment
You may not assign or transfer this Agreement without EduGradUP's prior written consent. EduGradUP may assign it to a successor or affiliate. Users will be notified of any assignment with advance notice (30 days).
E. Notices
All notices will be valid via email ([email protected]) or WhatsApp (+91 96280 30291). Legal notices via registered post/speed post: EduGradUP ERP Technologies, Azamgarh, UP 276001.
20. Amendment & Notification
We may update these Terms
Material changes will be communicated to registered users with 60 days advance notice (email + WhatsApp)
Non-material changes: 15 days notice + "Last updated" date update
Continued use after the notice period = acceptance of updated Terms
If you do not agree with the updated Terms, you may cancel your subscription during the notice period (pro-rata refund applicable)
